Private equity investment in law firms: talent and market diligence

Your deal counsel tells you whether the structure works. We tell you whether the firm can hire, keep and pay the lawyers your growth plan depends on. The work is independent and fixed-fee, done by a team that recruits attorneys every day.

The gap

The structure memos don't answer the people question

Most private equity investment in law firms runs through a management services organization. The investor owns the services company, and lawyers keep owning the practice. That keeps the deal inside the ethics rules. It also means the asset that produces the revenue, the attorneys and the clients who follow them, sits outside what you own.

Legal and financial diligence on these deals is thorough. Talent diligence usually is not. Nobody checks how dependent the firm is on three partners, whether its pay holds up against the firms down the street, or whether the market holds the lawyers the plan needs to hire. Those gaps show up in year one as departures and hiring delays.

What we do

Four ways we work on law firm deals

Market scan and target screening

Before you have a target. We map a practice area across the states you care about: which firms are growing, which are hiring, how deep the local attorney bench is, and what the seats pay. You get a ranked long list, not a stack of directory listings.

Talent diligence on a target firm

Inside your deal timeline. We test the people assumptions in the model: who generates the work, how concentrated it is, how the firm's pay compares to the market around it, and how hard it will be to replace anyone who walks after close.

Compensation and market benchmarking

What attorneys at each seniority level are paid in the firm's markets, and how far the firm sits from that. Retention packages and earn-outs priced against the market instead of against a guess.

Post-close attorney hiring

Growth plans for a platform usually assume lawyers who have not been hired yet. Our sister firm, Voll Recruiting, runs those attorney searches across platform firms, on the same market data the diligence used.

Law firm talent due diligence

What a target diligence covers

Each finding is sourced and dated, and written so it can go straight into an investment committee memo.

Bench depth

Attorneys by practice and seniority, and how that compares with the firm's competitors in the same markets.

Key-person concentration

How much of the book sits with a handful of partners, and what the market would pay to take each of them.

Headcount history

Arrivals and departures over time, rebuilt from the firm's own public attorney listings and our market tracking.

Pay position

The firm's compensation against what competing firms advertise for the same seats in the same markets.

Hiring capacity

How many qualified attorneys exist in each market the plan expands into, and how many competing seats are already open.

Post-close recruiting plan

What the hiring in the model will realistically take: how many hires, at what pay, how long it should take, and what it should cost.

Who we work with

Buy side, platform side, and the firms themselves

Private equity funds and family offices

Evaluating a law firm platform or an add-on, and want an independent view of the people before the price is set.

MSO operators

Building a multi-firm platform and need to know which markets can support the next firm, and who to hire into it.

Law firms considering outside capital

Want to understand their own market position, retention risk and hiring story before an investor asks.

Deal counsel and lenders

Need a talent and market workstream that sits alongside the legal, ethics and financial diligence they already run.

Why us

Diligence from people who hire lawyers for a living

Most diligence providers study the legal market from the outside. Our sister firm, Voll Recruiting, places attorneys at law firms across the country. That gives us a current, first-hand view of what lawyers are being offered, why they move and how long seats take to fill. We built our own tools to track hiring across thousands of U.S. law firms because that is how we recruit.

We have no stake in your deal. We don't broker transactions or take success fees on the investment, so the analysis reports what the market shows.

FAQ

Private equity, MSOs and law firm talent

What is a law firm MSO?

A management services organization (MSO) is a separate company that provides a law firm with non-legal services such as technology, marketing, finance, HR and administration under a services agreement. Outside investors can own the MSO. In most states the law firm itself stays owned by lawyers, because ABA Model Rule 5.4 and its state equivalents restrict non-lawyer ownership of law practices and fee-sharing with non-lawyers.

Can private equity own a law firm?

In most of the United States, not directly. Arizona has allowed licensed alternative business structures since 2021, and Utah has piloted a regulatory sandbox, but elsewhere investors usually invest through an MSO rather than owning the firm itself. The rules are evolving and differ by state. Structure and ethics questions belong with your deal counsel. We cover the talent and market side.

What kinds of law firms are private equity investors targeting?

Most of the publicly reported MSO deals involve personal injury and other consumer-facing firms. Those practices have high case volume, a lot of marketing and intake work, and back-office functions that are easy to centralize. The same structures are being explored in other practice areas, and the talent questions are similar in each.

Why does talent diligence matter more for a law firm than for other services businesses?

Because the lawyers are the asset, and in an MSO structure the investor does not own the practice they work in. Client relationships and case origination follow attorneys. A model that assumes the current partners stay, and that new lawyers can be hired on schedule, should be tested against the market before the price is set.

Where does your data come from?

We work from SurePoint Legal Insights (law firm rosters and job postings), LinkedIn Talent Insights, law firms' own public job postings and attorney listings, public bar and court records where relevant, and the live market our recruiting desk sees every week through candidate conversations and firm searches. Deliverables report findings and aggregate figures, never individual attorney records, and every one says which source each number comes from and how fresh it is.

Do you replace deal counsel or a financial diligence provider?

No. We are not a law firm and we do not give legal, ethics, tax or investment advice. We run one workstream, people and market, and hand it to the team already running legal and financial diligence.

How are engagements priced?

A market scan or a single-target diligence is a fixed fee, scoped and agreed before any work starts. Platform work, which covers ongoing market monitoring and hiring support across several firms, runs as a monthly retainer. Attorney searches are run by Voll Recruiting on its own standard terms.
